OFFICIAL RULES/PARTICIPATION AGREEMENT FOR
“THE 2008 COLLEGIATE NATIONALS INTERNATIONAL STUDENT FILM CHAMPIONSHIP” CONTEST
THIS CONTEST IS OPEN ONLY TO LEGAL RESIDENTS OF THE FORTY-EIGHT (48) CONTIGUOUS UNITED STATES OR THE DISTRICT OF COLUMBIA. SUBMISSION OF A COMPLETED SUBMISSION FORM AND FILM ENTRY TO THE INTERNATIONAL STUDENT FILM FESTIVAL CONSTITUTES ACCEPTANCE OF THESE OFFICIAL RULES/PARTICIPATION AGREEMENT ("OFFICIAL RULES/ PARTICIPATION AGREEMENT"). VOID WHERE PROHIBITED.
ELIGIBILITY
To be eligible to participate in the 2008 Collegiate Nationals International Student Film Championship ("Contest"), you must (i) be a legal U.S. resident of the forty-eight (48) contiguous United States or the District of Columbia (but specifically excluding Alaska, Hawaii and any jurisdiction where prohibited by law) (ii) who has submitted a Submission Form and Film Entry, see below for registration requirements, and (iii) is at least eighteen (18) years of age in the state in which you reside at the time of registration and is be currently enrolled as a part-time or full-time student at a college, university or trade school. As used in these Official Rules "you" and “your” refers to you and all members of your filmmaking team on whose behalf you are entering this Contest. By entering this Contest you acknowledge that you or any member in your filmmaking team will not be in violation of any third party agreement with any other third party that interferes with your participation in this Contest and/or receipt of the prizes awarded. If you are at least 18 years of age but under the age of majority in the state in which you reside, you will need to have your parent or legal guardian consent to your registration into the Contest (please see the section below called SUBMISSIONS BY MINORS). Employees, officers, and directors of the member companies of CSTV Networks, Inc., the International Student Film Festival, participating partners and retailers and their subsidiaries and affiliated companies and their immediate families and those living in their households, are not eligible to participate in the Contest. VOID IN ALASKA, HAWAII AND WHERE PROHIBITED. All federal, state and local laws and regulations apply.
SPONSOR: CSTV Networks, Inc., located at 85 Tenth Avenue, 3rd Floor, New York, New York 10011, and the International Student Film Festival, located at 5296 El Carro Lane, Carpinteria, California 93013 are the sponsors of the Contest (together, the "Sponsor").
PERSONAL INFORMATION
Sponsor will be collecting personal information about participants when they register and participate in the Contest. Sponsor will share this personal information in order to fulfill the requirements of the Contest, including sharing such information with promotional partners, agents and other third parties in connection with the Contest. In addition, Sponsor may, at its discretion, share your personal information with its affiliates, parent, and subsidiary companies, or other third parties whose products and services Sponsor believes may be of interest to you. For more information on the privacy practices of Sponsor, please visit the privacy policy located at http://www.cstv.com/ot/privacy.html. Submission of a completed registration constitutes acceptance of these Official Rules/Participation Agreement, including the terms of the Privacy Policy.
TERM
The Contest will commence on February 1, 2008 at 12:01 a.m. EST and end on May 15, 2008 11:59 p.m. EST ("Term"). Entries submitted on or before March 31, 2008 are eligible to compete to win a Grand Prize. Multiple entries may be submitted during the Term.
HOW TO PARTICIPATE
Film Entries can be any length. You must choose a category for your Film Entry on the corresponding Submission Form. Each and every Film Entry shall be submitted on standard NTSC format and may be submitted on mini DV or DVD format. For each Film Entry submitted, you must complete and submit a Submission Form with all applicable releases for talent, locations, music, footage and photos (forms are attached to the Submission Form), a Film Entry and an Entry Fee of Twenty Dollars ($20.00) (together, the “Film Entry Package”). You must complete and submit a separate Film Entry Package for any additional Film Entry; however, the Entry Fee for any additional Film Entry shall be Fifteen Dollars ($15.00). The Entry Fee is payable via check or money order payable to “International Student Film Festival” and is non-refundable. A completed Submission Form constitutes acceptance of these Official Rules. WARRANTY
By submitting a Film Entry you warrant and represent that the Film Entry is an original work, created solely by you, and it does not infringe on any third party's intellectual property rights, including copyrights, trademarks, or other proprietary or personal rights. You warrant and represent that the Film Entry does not contain defamatory, inaccurate, abusive, obscene, profane, sexually oriented, or threatening material. You warrant and represent that you have the right and license for all of the uses to be made of the Film Entry by Sponsor and/or its licensees pursuant to the grant of rights hereunder for either commercial or promotional purposes. You warrant and represent that the Film Entry is free and clear of any claims and liens by any person whose performances or depictions are embodied in the work, or any person rendering services in connection with the work. You warrant and represent that the Film Entry does not contain any materials owned or controlled by a third party for which you have not obtained a license. Sponsor reserves the right to disqualify any Film Entry that it deems to be in violation of these Official Rules, including but not limited to this Warranty, without any further obligation to you. Please read the Section of these Official Rules entitled "Eligibility," "Conditions on Participation," "Ownership in Entry," "Warranty," "Publicity Release," and “How to Win” before submitting a Film Entry. If your Film Entry cannot meet these requirements, please do not submit it.
SUBMISSION BY MINORS
If you are eighteen (18) years of age or older, but under the age of majority in the state in which you reside, you will need to have your parent or legal guardian consent to your registration. In order for Administrator to obtain this consent, we will require you to submit your parent or legal guardian's email address with your Film Entry Package. Sponsor will send your parent or legal guardian an email informing him/her of your attempted submission and provide him/her with a copy of these Official Rules/Participant Agreement and the other applicable terms (e.g the Privacy Policy). At that time, your parent or legal guardian may consent to your registration by replying to the email notification as set forth herein. If Sponsor does not receive the proper consent, your submission will be destroyed and you will not be eligible to compete in the Contest.
CONDITIONS ON PARTICIPATION
By participating in the Contest, you agree: (a) to be bound by these Official Rules; (b) as between you and the Sponsor, that the decisions of the Sponsor are final on all matters relating to the Contest; (c) you are not participating on behalf of any employer or third party; and (d) if you are a party to any third party agreement, such agreement does not interfere with your participation in this Contest and/or receipt of the prizes awarded. All Film Entry Packages and votes become the property of Sponsor. They will not be returned or acknowledged. Sponsor is not responsible for lost, late, misdirected, incomplete, illegible Film Entry Packages, or votes, or for any computer-related, online, telephonic, or technical malfunctions that may occur. Film Entry Packages and votes and will be considered void if they are in whole or in part illegible, incomplete, damaged, irregular, altered, counterfeit, produced in error, forged, mechanically reproduced, or obtained through fraud or theft.
OWNERSHIP IN ENTRY AND LICENSES GRANTED
You retain all ownership rights that you have in your Film Entry. However, by submitting the Film Entry to Sponsor, you hereby grant Sponsor the right and License in perpetuity to use your identity and the Film Entry or any portion thereof in any and all media, including, but not limited to, television, photographs, motion pictures, radio, Internet, broadband, CD, DVD, videotapes and other media known or unknown, in any manner, including for publicity, promotions, advertising, trade or commercial purposes, without any reimbursement of any kind due to you, or the need to pay you any additional fees or royalties whatsoever. You agree that Sponsor will be the exclusive owner of all rights, including but not limited to the copyrights, of any programming created by Sponsor (the “Sponsor Programs”) that includes your Film Entry, except that you shall retain the copyright to the Film Entry as an individual work. You agree that the Sponsor Programs shall constitute a ‘work made for hire” pursuant to the United States Copyright Act. To the extent any of the Sponsor Programs are not considered a “work made for hire,” you hereby assign all rights in the Sponsor Programs to Sponsor; such assignment shall be deemed irrevocable and coupled with an interest.
PUBLICITY RELEASE
Additionally, you agree to grant to Sponsor all rights to use any Film Entry that you submit, and your image, likeness, voice, name, and photograph in correlation with the Film Entry in any publicity or advertising relating to the Film Entry, and/or the Contest, without compensation or further approval (except where prohibited by law).
HOW TO WIN
All eligible entries submitted will be judged by a distinguished panel of judges will review and judge the Film Entries and determine at least ten (10) Finalist Entries. The Finalist Entries will be posted on the www.thecollegiatenationals.com (the “Contest Site”) where the public will be invited to vote for their favorite.. In the event of a tie, tied entries will be re-judged by the judges’ panel. All eligible Finalist Entries will be published on the Contest Site from April 25, 2008 – May 4, 2008 (the “Online Voting Period”). During the Online Voting Period, the Entries will be displayed for Voters to evaluate and place their votes. There will be a Grand Prize winner, a Second Place winner and a Third Place winner. The potential Grand Prize winner will be announced on May 5, 2008 and the potential Second Place and potential Third Place winners will be announced on May 15, 2008. In the event of a tie, the Sponsor will select the tied participant with the highest score from the judges’ panel vote.
WINNER NOTIFICATION
Within two (2) days of determining the potential Grand Prize winner, Sponsor will notify the potential Grand Prize winner by e-mail. The potential Grand Prize winner must respond to the e-mail within two (2) days to be eligible to receive the Grand Prize. Sponsor and its affiliates, parent, and subsidiary companies, employees, agents, officers, and directors, advertising and contest agencies, and their respective officers, directors, employees, and their respective agents will not be liable for unsuccessful efforts to notify any potential Grand Prize winner. If a potential Grand Prize winner declines the Grand Prize, fails to claim the Grand Prize, fails to meet the requirements for fulfillment of the Grand Prize, fails to abide by the Official Rules, or is otherwise determined to be ineligible in Sponsor's sole discretion, Sponsor may select as a new potential Grand Prize winner, the participant with the next highest score from the online vote.
WHAT DO YOU WIN?
There will be a choice of three prizes: 1) Sony H.D. camcorder; 2) round-trip flight for two and accommodations for two nights to the 2008 CSTV Collegiate Nationals in Boulder, Colorado on May 16-18, 2008; and 3) Final Cut Pro software. The Grand Prize winner will have first choice of one of the three prizes. The Second Place winner will have first choice of the remaining two prizes. The Third Place winner will receive the remaining prize.
Sponsor reserves the right, in it sole discretion, to disqualify any entrant who is under a third-party agreement which Sponsor deems as contradictory to the amateur nature of this Contest. Sponsor assumes no responsibility for any disputes among members of filmmaking teams that are entered into the Contest with regard to the Film Entries submitted into the Contest, or any disputes among the various individuals and/or entities that have collective interest in any submitted Film Entry. In the event that any such dispute or personnel change interferes with the operation of the Contest, entrants and their respective filmmaking team members involved in the dispute may be disqualified, in Sponsor's sole discretion. Sponsor reserves the right to hold additional, separate sub-contests that will be announced during the term of the Contest. In the event that the Sponsor chooses to hold additional, separate sub-contests, it will post the information on the Contest Site.
ABILITY TO TERMINATE
Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend all or part of the Contest. If Sponsor, in its sole discretion, determines that the Contest, or a portion of the Contest, is impractical, or if any portion of the Contest is deemed to be fraudulent, void, unlawful or if there are any technical or administrative malfunctions, errors or other problems that affect the structure, terms or lawful administration of the Contest, Sponsor may terminate, cancel or otherwise modify the applicable Contest, in whole or in part.
DISQUALIFICATION
Any violation of these official rules by any participant, in Sponsor’s sole discretion will result in such participant's immediate disqualification from the Contest.
LIMITATION OF LIABILITY
By submitting a completed Film Submission Package, participants release the International Student Film Festival, CSTV Networks, Inc. and their affiliates, parents, and subsidiaries companies, sponsors, employees, agents and officers, advertising and promotion agencies, as well as all others associated with the development and execution of the Contest, from and against any and all liability with respect to or in any way arising from the Contest, and the awarding and use of any prize(s). Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, or delay in operation or transmission, communications line failure, theft or destruction of, or unauthorized access to, any Contest registration, voting or Film Entry submission, or alteration of registration data. I and my heirs, executors, administrators and assigns hereby voluntarily forever release, discharge, waive and relinquish any and all actions, claims or causes of action against, CSTV and its respective parent, subsidiary and affiliated and related companies, advertising and promotional agencies, administrators and prize suppliers, and its respective officers, directors, employees, agents and representatives (the “Released Parties”) arising from or resulting in any manner from my participation in the Contest and/or my acceptance and/or use or misuse of the Grand Prize.
LAWS
The Contest is governed by the laws of New York without regard to the conflicts of law provisions.
WINNER'S LIST/CONTEST PROGRAM
To obtain the names of the winners of the Contest, please visit the Contest Site located at www.thecollegiatenationals.com where a winners list will be posted for one hundred twenty (120) days following the completion of the Contest. Additionally, you may order a DVD copy of the Contest Program that will include all of the Contest Winners and a clip from each Film Entry submitted. The cost of each Contest Program is twenty dollars ($20.00).

STUDENT FILMMAKER WAIVER OF LIABILITY AND RELEASE
My signature on this form signifies that I have read, understand, and will abide by this information.
In connection with The Collegiate Nationals International Film Championship (the “Event”), and on behalf of myself, my executors, administrators, heirs, next of kin, successors and assigns, and anyone else who might sue on my behalf, I hereby waive, release and forever discharge CSTV Networks, Inc. (“CSTV”), the International Student Film Festival, all Event producers, staff officials, contractors, vendors, organizers, Event administrators, sponsors, volunteers, all other persons or entities involved in the Event, the state, cites, town and other governmental bodies and locations in which the Event or portions of the Event take place, and all their affiliated entities, employees, agents, representatives, and directors thereof (all collectively known as “Event Organizers”) from all claims, actions, suits and demands whatsoever in law or in equity, including, but not limited to, death or injury from participating in the Event, the risk of loss of personal property by theft or otherwise, including any claims for the provision of first aid, medical care, medical treatment or medical decisions, claims for infringement of intellectual property, defamation, rights of publicity or any other claims, and I further agree to indemnify, defend and hold harmless the Event Organizers from any and all of the above such claims, actions, suits and demands.
Further, I hereby grant full permission for the Event Organizers to record any or all of my participation, my name and my likeness (“My Identity”), and to use the same as well as any material provided by me, including, but not limited to, the film or other materials I produce for the Event (the “Filmmaker Materials”) . I acknowledge and agree that CSTV shall have the right to record, film, capture, transmit, distribute, license and otherwise exploit My Identity and the Filmmaker Materials and to produce a program or programs which include and/or feature all or part of My Identity and/or the Filmmaker Materials (the “CSTV Program(s)”). I grant to CSTV the right and License in perpetuity to use My Identity and the Filmmaker Materials or any portion thereof in any and all media, including, but not limited to, television, photographs, motion pictures, radio, Internet, broadband, CD, DVD, videotapes and other media known or unknown, in any manner, including for publicity, promotions, advertising, trade or commercial purposes, without any reimbursement of any kind due to me, or the need to pay me any additional fees or royalties whatsoever. I shall be the exclusive owner of the copyright to the Filmmaker Materials as an individual work. Notwithstanding the foregoing, I agree that CSTV will be the exclusive owner of all rights, including but not limited to the copyrights, of the CSTV Programs. I agree that the CSTV Programs shall constitute a ‘work made for hire” pursuant to the United States Copyright Act. To the extent any of the CSTV Programs are not considered a “work made for hire,” I hereby assign all rights in the CSTV Programs to CSTV; such assignment shall be deemed irrevocable and coupled with an interest.
I represent and warrant that: (a) I have the full right, power and authority to enter into this agreement and to grant all rights granted herein, that I am not under, nor will be under, any disability, restriction or prohibition with respect to my rights to fully perform in accordance with the terms and conditions of this agreement, and that there shall be no liens, claims or other interests which may interfere with, impair or be in derogation of the rights granted herein; (b) I own or control 100% of the copyrights to Filmmaker Material as well as any other required permissions to use such Filmmaker Material and am authorized to grant CSTV the rights as set forth in this agreement; (c) the Filmmaker Materials will not violate or infringe upon any common law or statutory right of any person, firm or corporation including, without limitation, contractual rights, copyrights, trademark, right of publicity or privacy or any other right of any person.

Music Publisher and Record Label hereby respectively grant to Student Filmmaker and CSTV Networks, Inc. Lessee, its successors, assignors, and licensees, shall own all rights of every kind in and to all photographs and recordings made by it or about Property and shall have the right to use such photographs and or recordings in any manner it may desire without limitation or restriction of any kind. Lessee agrees to use reasonable care to prevent damage to Property, and will indemnify and hold owner harmless from and against any and all damage and liability for injury to or death of persons and for damage to or destruction of Property during Lessee’s filming operations under and pursuant to this Agreement; provided, however, that Lessee’s liability under this clause shall be limited to the amount of its commercial general liability insurance. In this connection, owner agrees to submit to Lessee in writing, within five days after the term, a detailed listing of all claimed Property damage or personal injuries for which Lessee is responsible, and allow Lessee to inspect the Property so damaged. The undersigned warrants that he/she is the owner or agent for the owner of Property, that he/she is fully authorized to enter into this Agreement and has the right to grant Lessee the use of Property and each and all of the rights herein granted. Owner acknowledges that Lessee has described to owner any unusual or unlikely manner in which the Property and/or name of the Property may be used by the Lessee, and owner hereby consents to all such uses so described to the owner.

RELEASE
This release is made to allow you to include me as a guest/actor/actress in the production of the film noted above. I understand that my execution of this release is deemed consideration for the Student Filmmaker’s (Producer) allowing me to appear in the production and I acknowledge that Producer will incur considerable expense in reliance on my execution of this release.
I agree that the Producer may tape and photograph me and record my voice and performance during and in connection with the production of the Programs. I agree that the Producer shall be the exclusive owner of all copyright and other rights in and to such taping, photography and recording and shall have the right forever and throughout the world to use and license others to use the results of such taping, photography and recording in any medium, whether now known or hereinafter invented, for any purpose whatsoever, without any payment to me.
I further agree that the Producer may use and license others to use my name, voice, photograph and likeness in any and all media for any purpose whatsoever in connection with the production and in connection with the promotion and marketing of Producer, its products and its programming.
I represent that I am at least 18 years of age.
